1. Acceptance of Terms

These Terms of Service govern access to and use of:

https://vietextile.com and its language versions;
The VIETEXTILE Keyword API application;
Related tools, reports, and automation workflows operated by VIETEXTILE CO., LTD. (“VieTextile,” “we,” “us,” or “our”).

By accessing the website, using the application, or granting Google OAuth authorization, the user confirms that they have read, understood, and agreed to these Terms and VieTextile’s Privacy Policy.

If the user does not agree, they should not use the application or authorize access to their Google account.

3. Scope of the Service

VIETEXTILE Keyword API is a business tool for VieTextile’s internal operations and authorized users. It may provide functions including:

Connecting a Google Ads account through Google OAuth 2.0;
Identifying Google Ads accounts accessible to the user;
Retrieving Google Ads account and reporting information;
Conducting keyword research;
Generating keyword ideas and retrieving planning data;
Producing internal reports;
Diagnosing connection and API errors.

The current configuration is intended for keyword research and reporting. It does not automatically create, modify, or delete campaigns, advertisements, budgets, or billing information.

If VieTextile introduces a function capable of changing a Google Ads account, it will only be used after the user receives clear notice and provides appropriate approval.

Product, service, pricing, and commercial information on the website is provided for general information unless confirmed in a separate written quotation, purchase order, or agreement.

4. Eligibility and Authority

A user may use the application only if they:

Have legal capacity to accept these Terms;
Own the connected Google Ads account or have valid authorization from its owner;
Have authority to act for an organization when using the application on its behalf;
Provide accurate and current information;
Comply with applicable law, Google policies, and Google Ads terms.

Users must not connect or access another party’s Google Ads account without valid permission.

5. Google OAuth and Google Ads API

The application uses Google OAuth 2.0 and the Google Ads API to provide the disclosed functions.

VIETEXTILE Keyword API uses the following OAuth scope:

https://www.googleapis.com/auth/adwords

Use of Google services is also subject to:

Google APIs Terms of Service;
Google Ads API Terms and Conditions;
Google API Services User Data Policy;
Google Ads policies and other applicable Google requirements.

VieTextile does not own, control, or guarantee the continued availability of Google OAuth, the Google Ads API, or any other Google service. Google may change functionality, quotas, access levels, or service availability.

6. User Responsibilities

Users are responsible for:

Protecting their Google account and sign-in information;
Preventing unauthorized access;
Maintaining appropriate Google Ads permissions;
Checking the target account before running a workflow or query;
Reviewing results before making business decisions;
Revoking OAuth access when the application is no longer required;
Informing VieTextile of suspected unauthorized access or security incidents;
Complying with Google API limits, quotas, and policies.

Users are responsible for actions performed through the accounts or permissions they provide.

7. Prohibited Conduct

Users must not:

Access data or accounts without authorization;
Use the service for illegal, fraudulent, misleading, or rights-infringing purposes;
Circumvent API limits, authentication, or security measures;
Steal, disclose, or share tokens, client secrets, developer credentials, or confidential information;
Interfere with, disrupt, or overload servers, workflows, or Google APIs;
Introduce malware, viruses, or destructive code;
Reverse engineer, copy, or unlawfully exploit the application or its structure;
Sell, transfer, or distribute Google Ads data to unauthorized parties;
Use received information for surveillance, data brokering, credit assessment, or unrelated personalized advertising;
Misrepresent an affiliation with VieTextile, Google, or any other organization.

8. Keyword Research and Reporting Results

Keyword ideas, search volumes, competition levels, bid estimates, forecasts, and other metrics may be estimates supplied by Google.

Results may vary based on:

Time and seasonality;
Market and geographical location;
Language and advertising network;
User behavior;
Budgets, bids, and advertising quality;
Google policies, methodology, and available data.

VieTextile does not promise that forecasts will become actual advertising results. Users must review the information and remain responsible for decisions concerning campaigns, budgets, bids, and business activities.

9. Availability and Service Changes

VieTextile seeks to maintain stable operation but does not guarantee uninterrupted, error-free, or continuous availability.

The service may be interrupted by:

Maintenance or upgrades;
Network, server, or software failures;
Changes made by Google;
Expired or revoked OAuth tokens;
Google Ads API quotas or access restrictions;
Events outside VieTextile’s reasonable control.

VieTextile may modify, limit, suspend, or discontinue any part of the service when reasonably necessary for technical, security, legal, or operational reasons.

10. Privacy and Data Protection

Information is collected, used, stored, and protected in accordance with the Privacy Policy published on the VieTextile website.

Users may revoke Google OAuth access at:

https://myaccount.google.com/connections

After access is revoked, the application cannot retrieve new Google Ads information. Previously stored information will be processed or deleted in accordance with the Privacy Policy and applicable law.

11. Intellectual Property

The website, interface, content, trademarks, logos, documents, workflow configurations, and components developed by VieTextile are owned by VieTextile or their respective licensors.

Users receive a limited, non-exclusive, non-transferable, and revocable right to use the service only for its authorized purposes.

Google, Google Ads, and related trademarks are owned by Google. Use of the application does not grant any ownership interest in Google’s or VieTextile’s intellectual property.

12. Third-Party Services

The application depends on third-party services, including Google OAuth, the Google Ads API, server infrastructure, and open-source software.

Third-party services may be governed by their own terms and policies. VieTextile is not responsible for changes, interruptions, or actions outside its reasonable control.

13. Suspension and Termination

VieTextile may suspend or terminate access when:

The user breaches these Terms;
A security risk or unauthorized access is detected;
The user no longer has permission to access the relevant Google Ads account;
Google suspends or restricts the API, OAuth client, or Cloud project;
Continuing to provide the service may violate law or applicable policy.

Users may stop using the service at any time by revoking OAuth authorization and requesting credential deletion at info@vietextile.com.

14. Disclaimers

To the extent permitted by law, the website and application are provided “as is” and “as available.”

VieTextile does not warrant that:

The service will be uninterrupted or error-free;
Google information will always be complete, accurate, or current;
Keyword ideas will produce specific traffic, revenue, or advertising performance;
The service will be suitable for every business purpose.

Nothing on the website or application constitutes legal or financial advice or a commitment regarding business performance.

15. Limitation of Liability

To the maximum extent permitted by law, VieTextile will not be liable for indirect, incidental, special, or consequential loss, including loss of profits, revenue, information, or business opportunities resulting from:

Use of or inability to use the service;
Decisions based on forecast information;
Changes to or interruption of Google services;
Unauthorized access resulting from the user’s failure to protect an account;
Use of the service in breach of these Terms.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Compliance and Responsibility for Loss

Users are responsible for their use of the service and for losses resulting from:

Unauthorized account access;
Violations of law or third-party rights;
Violations of Google policies;
Disclosure of credentials or information caused by the user;
Misuse of the service or provision of inaccurate information.

To the extent permitted by law, users are responsible for reasonable losses and costs directly caused to VieTextile by such violations.

17. Governing Law and Disputes

These Terms are governed by the laws of Vietnam.

The parties will first seek to resolve disputes through good-faith negotiation. If a dispute is not resolved within 30 days after written notice, it may be submitted to a competent authority or court in Vietnam.

Separate agreements between the user and Google remain governed by the applicable Google terms.

18. Changes to These Terms

VieTextile may update these Terms to reflect changes in the service, technology, Google policies, or applicable law.

The updated version will be published on the website with a revised update date. Where a change materially affects user rights or the use of Google information, VieTextile will provide appropriate notice before the change takes effect when required by law.

19. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

VieTextile’s delay or failure to exercise a right does not constitute a waiver of that right.
